Welcome to Gosotek. These Terms & Conditions ("Terms") govern your use of our website, platform, and professional services. By accessing or using our Services, you agree to be bound by these Terms in their entirety.
1. Acceptance of Terms
By using https://www.gosotek.com/ or engaging our Services — including web and app development, digital marketing and SEO, e-commerce solutions, UI/UX design, IT consulting, and cybersecurity — you agree to these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Services.
Users must be at least 18 years of age and legally authorized to enter into binding contracts.
2. Key Definitions
This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
- "Platform Owner" / "Company" / "We" / "Us" / "Our" refers to GOSOTEK TECHNOLOGY PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, with its registered office at FIRST FLOOR, A-103, RIZVI PALACE CHS LTD, HILL ROAD, BANDRA WEST, MUMBAI, MAHARASHTRA, 400050.
- "Platform" refers to the website https://www.gosotek.com/, including all sub-domains, mobile applications, and digital properties owned and operated by the Company.
- "Services" refers to all professional services offered by Gosotek, including but not limited to web development, app development, digital marketing, SEO, e-commerce solutions, UI/UX design, IT consulting, cybersecurity, cloud solutions, and any other services described on the Platform or in a Statement of Work (SOW).
- "Client" / "You" / "Your" / "User" refers to any individual, business, or entity that accesses the Platform or engages our Services.
- "SOW" / "Project Agreement" refers to a Statement of Work or any written agreement that defines scope, deliverables, timelines, milestones, and fees for a specific project or engagement.
- "Deliverables" refers to the work product, code, designs, content, or other materials produced by Gosotek as part of the Services.
- "Confidential Information" refers to any non-public information disclosed by either party in connection with the Services, including business plans, technical data, trade secrets, and proprietary methodologies.
IMPORTANT NOTICE: ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THEM CAREFULLY BEFORE PROCEEDING.
3. Services & Availability
The scope, timeline, milestones, and fees for any project or engagement are defined in a Statement of Work (SOW) or Project Agreement mutually agreed upon by both parties.
- Website and platform access is available 24 hours a day, 7 days a week.
- Scheduled maintenance, updates, or force-majeure events may cause temporary downtime. We will make reasonable efforts to notify users in advance of any planned maintenance.
- We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
- Service availability does not guarantee uninterrupted or error-free operation.
4. Accounts & Acceptable Use
If you create an account on our Platform, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree not to:
- Use the Services for any illegal or unauthorized purpose.
- Infringe upon the intellectual property rights of Gosotek or any third party.
- Upload, transmit, or distribute malware, viruses, spam, or any harmful content.
- Scrape, crawl, or use automated tools to extract data from the Platform without prior written consent.
- Reverse-engineer, decompile, or disassemble any part of the Platform or Services.
- Attempt to bypass, circumvent, or compromise any security measures or access controls.
We reserve the right to suspend or terminate your account if any violation is detected.
5. Pricing & Payments
Our standard payment schedule is as follows:
- 50% advance — due before project commencement.
- 25% on submission — due upon delivery of the initial draft or milestone.
- 25% before final delivery — due before handover of completed deliverables.
Alternative payment models, including retainer-based, hourly, or performance-based arrangements, must be agreed upon in writing prior to the start of the engagement.
- Quoted prices are valid for 30 days from the date of the proposal.
- GST, currency conversion fees, third-party licenses, hosting costs, and scope changes are billed separately and are not included in the base price unless explicitly stated.
- Late payment fee: 1.5% per month on overdue amounts.
- Invoice terms: Net 15 days from the date of invoice.
6. Deliverables, Revisions & Acceptance
- The Client has 7 business days to review deliverables upon submission. If no feedback is provided within this period, the deliverables shall be deemed accepted.
- Up to 2 rounds of revisions are included within the originally defined project scope. Any additional changes, out-of-scope modifications, or extra revision rounds will be billed at our standard hourly rate.
- Project completion is defined as the point at which all deliverables have been accepted (explicitly or by silence), final payment has been received, and intellectual property has been transferred to the Client.
7. Intellectual Property
- Custom work — Ownership of all custom deliverables transfers to the Client upon receipt of final payment in full.
- Pre-existing materials — Gosotek retains all rights to pre-existing tools, frameworks, libraries, methodologies, and proprietary code used in the delivery of Services. The Client is granted a non-exclusive, perpetual license to use such materials as part of the delivered project.
- Third-party components — Any third-party software, plugins, or components integrated into the deliverables remain subject to their respective licenses and terms.
- Portfolio use — Gosotek reserves the right to showcase completed work in its portfolio, case studies, and marketing materials unless the Client opts out by sending a written request to privacy@gosotek.com.
8. Warranty & Support
We provide a 30-day warranty period following project completion, during which we will fix bugs and defects that fall within the original project scope at no additional cost.
The warranty does not cover:
- Issues caused by third-party plugins, services, or integrations.
- Problems resulting from modifications made by the Client or unauthorized third parties.
- Hosting, server, or infrastructure faults outside of Gosotek's control.
Paid support: Ongoing support and maintenance are available through SLA agreements or retainer contracts. Support hours are 9:00 AM to 6:00 PM IST, Monday through Friday.
9. Disclaimers & No Guarantees
Services are provided "as is" and "as available" except as expressly stated in any written warranty. Gosotek makes no representations or guarantees regarding:
- Search engine rankings or SEO performance.
- Website traffic or visitor volumes.
- Conversion rates or lead generation outcomes.
- Revenue, sales, or business growth results.
While we employ industry best practices and proven strategies, results depend on numerous external factors beyond our control.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Gosotek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total amount paid by the Client for the specific Service in question, or ₹1,00,000 (Indian Rupees One Lakh), whichever is lower.
Exceptions: The above limitations do not apply to claims arising from:
- Breach of confidentiality or intellectual property obligations.
- Indemnification obligations.
- Gross negligence or willful misconduct.
- Death or personal injury caused by negligence.
11. Indemnity
The Client agrees to indemnify, defend, and hold harmless Gosotek, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Content provided by the Client for use in the project.
- The Client's violation of any applicable laws or regulations.
- Misuse of the Services or Platform.
- The Client's negligence or willful misconduct.
Gosotek agrees to indemnify the Client against any third-party claims alleging that the deliverables (excluding Client-provided content) infringe upon any third-party intellectual property rights.
12. Confidentiality
- Both parties agree to protect the confidentiality of all Confidential Information received from the other party.
- Confidential Information shall be used solely for the purposes of the project and shall not be disclosed to any third party without prior written consent.
- Upon request or termination of the engagement, each party shall return or destroy all Confidential Information in its possession.
- Survival: Confidentiality obligations survive termination of the agreement for a period of 5 years.
13. Data Protection
- Both parties agree to comply with all applicable Indian data protection laws, including the Information Technology Act, 2000 and any rules or regulations thereunder.
- In the event of a data breach affecting personal or sensitive data, the affected party shall notify the other party within 72 hours of becoming aware of the breach.

14. Termination
- Either party may terminate the engagement by providing written notice to the other party.
- Gosotek may suspend or terminate Services immediately in cases of non-payment, violation of applicable laws, or abusive conduct.
- Upon termination, all outstanding fees and invoices become due and payable immediately.
- Gosotek may retain work-in-progress deliverables until all outstanding payments have been settled.
15. Dispute Resolution
- Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation.
- Mediation: If negotiation fails, the dispute shall be referred to mediation conducted in Kota or Jaipur, Rajasthan.
- Arbitration: If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The courts of Kota/Jaipur, Rajasthan shall have exclusive jurisdiction over any legal proceedings. Governing law: These Terms are governed by and construed in accordance with the laws of India.
16. Force Majeure
Neither party shall be liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, cyberattacks, power failures, or other force-majeure events.
Payment obligations shall continue to apply regardless of any force-majeure event.
17. Time Limit for Claims
Any claims arising out of or related to these Terms or the Services must be filed within 1 year from the date the cause of action arose. Claims filed after this period shall be deemed waived and barred.
18. Third-Party Services
- Our Services may involve integration with third-party platforms, tools, or services (e.g., payment gateways, analytics, hosting providers, APIs). These third-party services are governed by their own terms and conditions.
- The Client is responsible for maintaining their own accounts with third-party providers and for paying any associated fees.
- Gosotek is not responsible for the performance, availability, or policies of any third-party services.
19. Security & Backups
- We implement industry-standard security measures including HTTPS encryption, data encryption at rest and in transit, firewalls, and regular security audits.
- Daily backups are performed with approximately 30-day retention.
- While we take every reasonable precaution, no system is completely secure, and we cannot guarantee absolute security of your data.
20. Changes to Terms
We reserve the right to update or modify these Terms at any time. We will provide at least 30 days' notice of any material changes via email or a prominent notice on our website.
Continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
